Effective
These Terms of Use are the agreement between you and Arios Technologies Inc. for your use of Momentum. Together with our Privacy Policy, Refund Policy, and Cancellation Policy, they cover everything. By signing up, paying, or using the platform, you agree to them.
If you are agreeing on behalf of a company, you are confirming you have the authority to bind it, and "you" means that company.
1. What Momentum is
Momentum is a customer relationship management and marketing automation platform for small businesses. It includes a contact database with smart lists, a shared inbox for two-way text and email, calendars and online booking, pipelines, workflow automation, forms and surveys, funnel and website building, reputation and review requests, reporting, a mobile app, and AI features for follow-up, chat, voice, and content.
Momentum is built on GoHighLevel, a platform we license from HighLevel Inc. and resell to you, configured and preloaded for business owners rather than agencies. Your account is a sub-account inside our GoHighLevel agency. That means two practical things: the underlying platform’s capabilities, limits, and roadmap are set by HighLevel, not by us; and features may be added, changed, or withdrawn by HighLevel on notice we pass on rather than notice we control.
What we provide on top of the platform is the configuration, the prebuilt funnels, workflows and templates, onboarding, support, and — as a paid add-on — custom automation work inside your account.
2. Your account
You give us accurate information when you sign up and keep it current. You are responsible for your login credentials and for everything done under your account, including by staff you invite. Tell us immediately at hello@ariostech.ca if you think someone has got in who should not have.
You are responsible for your own internet connection, devices, and browsers. If the information you give us is false or out of date, or we reasonably suspect it is, we may suspend or close the account.
3. Plans, billing, and price changes
Momentum is sold on three plans — Lite at $197, Core at $397, and Growth at $697, all in Canadian dollars per month. White-Glove Setup is a separate one-time charge of $997 CAD. All prices are in Canadian dollars and exclusive of GST and any other applicable tax, which is added at checkout.
You keep a valid payment method on file. Subscriptions bill on the same day each month, starting the day you sign up, and renew automatically until you cancel. There is no minimum term and no long-term contract.
When you first subscribe, your card may see a small temporary authorization charge from our payment processor to confirm the card is valid. It is released automatically, usually within minutes and occasionally up to 5 business days depending on your bank.
Upgrades take effect immediately and are prorated — you pay the difference for the remainder of the current cycle. Downgrades take effect at the start of your next billing cycle, with no proration and no mid-cycle refund, because that is how plan changes work on the underlying platform. Contact us to change plans and we will action it.
If a payment fails, we will retry and email you. If it is still unpaid after 14 days we may suspend access until it clears; if it is still unpaid after 30 days we may close the account, at which point the data retention clock in the Cancellation Policy starts.
We may change subscription prices. If we do, we will give you at least 30 days’ notice by email before the change reaches your account, and you can cancel before it takes effect if you do not want it.
4. Usage charges — telephony, messaging, and AI
Your subscription covers the platform. Telephony, messaging, and AI are metered and billed on top of it, at the rates below. This is normal for any platform that sends real texts and places real calls: those cost money per message and per minute, and we pass them through with a margin rather than hiding them in a higher subscription price.
Rates are in Canadian dollars. Text messages are $0.0332 per segment, sent or received. Picture messages (MMS) are $0.10 each. Outbound calls are $0.056 per minute; inbound calls are $0.034 per minute. A local phone number is $5.00 per month; a toll-free number is $9.00 per month. Emails are $0.002 each to send, and email verification is $0.01 per address. The rates charged to your account are also shown on the billing screen inside your account; if a rate ever changes, we will tell you by email before it applies.
A text message is billed per segment, not per send. A segment is 160 characters of plain text, or 70 characters if the message contains an emoji or other Unicode — so a long or emoji-heavy message counts as several segments. Sending and receiving are both billed.
AI features — AI Employee, AI Chatbot, Voice AI, and Funnel AI — are metered separately. Current AI rates are shown on the billing screen inside your account, alongside your usage for the period.
Carrier and registration fees are passed through at cost. Canadian and US carriers charge per-message surcharges on top of the base rate, and A2P 10DLC brand and campaign registration carries one-time and recurring fees. These are set by the carriers, not by us, and they change. We do not add a margin to them; the current amounts appear on your billing screen when they are charged.
Messages sent and received through Instagram, Facebook Messenger, WhatsApp, and Google Business Profile chat carry no per-message charge.
New accounts get a one-time signup credit against usage: $10 on Lite, $25 on Core, and $50 on Growth. It is issued once, when you sign up — not a monthly allowance. Credits are not cash: they are not transferable, not refundable, and do not roll over once spent.
Usage is drawn from a prepaid balance on your account, which tops up automatically from your payment method when it runs low so your campaigns do not stop mid-send. By subscribing you authorize those top-ups. The balance at which a top-up triggers and the amount added are shown on the billing screen in your account, so you can see both before they apply.
Prepaid balances and credits are not refundable in cash and are forfeited when the account closes. Draw them down before you cancel.
5. Acceptable use
Use Momentum for your own business. Do not resell, sublicense, or give access to the platform to anyone outside your business, and do not use it to run a competing agency or platform.
Do not use Momentum to send anything unlawful, fraudulent, defamatory, harassing, hateful, or obscene; to impersonate anyone, including us; to infringe anyone’s copyright, trademark, or other rights; to distribute malware; to interfere with the platform or the networks it runs on; to scrape, copy, or reverse-engineer it; or to circumvent usage limits or metering.
Do not send messages promoting content that carriers prohibit — this typically covers cannabis, illegal drugs, firearms, gambling, high-interest and payday lending, debt relief, and adult content. Carriers block and fine on these categories, and the consequences land on our messaging account as well as yours.
If you break this section, we may suspend or close your account. Where the breach is not serious and can be fixed, we will tell you first and give you a reasonable chance to fix it.
6. Your messaging obligations — CASL and consent
This is the section most people skim, and it is the one that carries a $10 million maximum penalty, so read it.
Canada’s Anti-Spam Legislation requires consent before you send a commercial electronic message — email or text — to someone in Canada. Consent is opt-in, not opt-out. Every message you send has to identify your business, include your mailing address and a way to contact you, and carry a working unsubscribe mechanism that you honour within 10 business days.
You are the sender. Momentum is the tool. You are responsible for having valid express or implied consent for every contact in your database, for keeping the records that prove it, for honouring every unsubscribe, and for the content of everything your account sends. You confirm that any list you import was collected with the consent CASL requires.
CASL also reaches people who help others break it. If your account is used to send without consent, that is a problem for us as well as for you — which is why we will suspend an account that generates spam complaints, carrier blocks, or high opt-out rates, and why A2P 10DLC registration is required before your account can send text messages at volume.
You are also responsible for complying with the Telecommunications Act and CRTC rules on calling and texting, including the National Do Not Call List where it applies to you, calling-hour restrictions, and consent to record. In Canada you must tell the other party before you record a call, and call recording in Momentum is off unless you turn it on.
You indemnify us for any claim, fine, penalty, or carrier charge arising from messages sent through your account.
7. Your data and your content
Your contacts, conversations, funnels, workflows, templates, media, and everything else you create or upload stay yours. We do not claim ownership of any of it, we do not use it to market to your customers, and we do not use it to train anything.
You give us the limited licence we need to host, process, back up, transmit, and display that content in order to run the service you are paying for, and to access your account when you ask us for support or when you have bought work that requires it.
You are responsible for having the right to use everything you upload, and for the accuracy of your own data.
8. Our intellectual property
The Momentum name and brand, our website and its content, and the configurations, templates, funnels, workflows, and snapshots we have built and preloaded into your account are owned by Arios Technologies Inc. or licensed to us. The underlying platform is owned by HighLevel Inc.
You get a licence to use all of it inside your Momentum account, for your own business, while your subscription is active. You do not get to copy it, redistribute it, resell it, or lift our configurations out and rebuild them elsewhere.
9. Leaving Momentum — your data and your options
You can leave whenever you want, and you can take your data with you. Here is exactly what that looks like, because vague answers to this question are how platforms trap people.
What you can export yourself, from inside your account, at any time: contacts and their custom fields, opportunities, calendar and appointment data, form and survey submissions, and your media library. Conversation history, invoices, and reporting are available through the platform’s export and API options.
Your phone numbers are portable. Canadian and US numbers on the platform can be ported out to another provider on request — the receiving provider starts the port, and we complete the paperwork on our side. Do this before you cancel, not after: a released number goes back to the carrier pool and can be reassigned to someone else.
What does not export cleanly: funnels, websites, workflows, automations, email and SMS templates, and pipeline configurations. These are platform-native objects that only exist inside GoHighLevel. If you move to a different platform, they have to be rebuilt there. That is a property of the technology, not a policy we invented, and the same was true in reverse when you came to us.
Sub-account transfers. GoHighLevel supports transferring a sub-account to another GoHighLevel agency, and supports ejecting a sub-account so it becomes its own standalone GoHighLevel agency on HighLevel’s own plan. Both keep your contacts, conversations, funnels, workflows, and account history together. Both are initiated by us as the releasing agency and processed by HighLevel, and neither is instant. Integrations — Google, Facebook, Stripe, email sending domains, custom domains — do not carry across and have to be reconnected on the other side, and active subscriptions on the sub-account have to be cancelled before a transfer can run. If you are moving to another GoHighLevel agency, email hello@ariostech.ca and we will tell you what we can release, what it involves, and what it costs, before you commit to anything.
Snapshots. A snapshot is a GoHighLevel template of a sub-account’s configuration. We use snapshots to build and update accounts inside Momentum. A snapshot can only be loaded into another GoHighLevel account, so it is only relevant if you are moving to another GoHighLevel agency rather than off the platform entirely. Snapshot releases are handled with the same request as a sub-account transfer, above.

10. Cancellation, refunds, and privacy
Three separate documents cover these, and those are the authoritative versions. In short: you can cancel any time, with no notice period and no exit fee, and your account stays live until the end of the billing cycle you have already paid for — see the Cancellation Policy. New customers can get the subscription fee back in full within the first 30 days, subject to the conditions there — see the Refund Policy. What we do with personal information, and where it is stored, is in the Privacy Policy.
If anything in this section ever appears to conflict with those documents, those documents win.
11. Availability, and what we do not promise
We will do our reasonable best to keep Momentum available, and we will tell you about planned maintenance in advance where we can. We do not promise uninterrupted or error-free service, and we do not control the uptime of the underlying platform, the carriers that deliver your messages, or the third parties you connect to your account.
The platform is provided as-is and as-available. To the extent Canadian law allows, we exclude all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing here excludes a statutory guarantee or condition that cannot lawfully be excluded, and nothing here limits our liability for fraud, or for death or personal injury caused by our negligence.
We are not responsible for message or call delivery failures caused by carriers, for content filtered or blocked by a carrier or inbox provider, for the accuracy of AI-generated output — which you should review before it goes out — or for anything that breaks in a third-party tool you have connected.
12. Limitation of liability
Neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business, or lost or corrupted data, even where the possibility was known.
Our total aggregate liability to you for all claims arising out of or relating to Momentum, whatever the cause of action, is capped at the total subscription fees you actually paid us in the 12 months before the event giving rise to the claim.
You accept that this cap is a reasonable allocation of risk given the price of the service, and that we have priced Momentum on that basis.
13. Indemnity
You will indemnify and hold harmless Arios Technologies Inc., its directors, officers, and staff from any claim, demand, loss, fine, penalty, or expense — including reasonable legal fees — arising from your use of Momentum, the content your account sends, your breach of these Terms, your breach of CASL or any privacy, telecommunications, or consumer protection law, or any dispute between you and one of your own contacts or customers.
14. Suspension and termination by us
We may suspend or close your account for non-payment, for a breach of section 5 or section 6, for activity that puts our messaging or platform accounts at risk, or where we are required to by law or by HighLevel. Except where the breach is serious or we have no choice, we will give you notice and a chance to put it right first.
If we close your account for a breach, no refund is due, and the data retention window in the Cancellation Policy applies from the date of closure.
15. Changes to these terms
We may update these Terms. For any change that materially affects your rights or what you pay, we will email the address on your account at least 30 days before it takes effect, and you can cancel before then if you do not accept it. Other changes take effect when posted here. Continuing to use Momentum after a change means you have accepted it.
16. Governing law and general provisions
This agreement is governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts of Alberta have exclusive jurisdiction over any dispute, and you agree not to argue that Alberta is an inconvenient forum. Nothing here prevents either of us from bringing a claim in small claims court where that court has jurisdiction.
Nothing in this section takes away a right you have under the consumer protection legislation of the province where you live or do business, where that legislation applies to you and cannot be contracted out of.
Momentum is sold in Canada. We make no representation that it is appropriate or available anywhere else, and if you use it from outside Canada you are responsible for complying with your own local law.
If any provision here is found unenforceable, it is severed and the rest stands. This agreement, with the Privacy, Refund, and Cancellation policies, is the entire agreement between us about Momentum and replaces anything said before it. You cannot assign it without our written consent; we may assign it to a buyer of our business on notice to you. Our failure to enforce a provision is not a waiver of it.
